Please read these Terms of Service (“Terms”, “Terms of Service”) before using the titleixforall.com website, titleixforall.knack.com databases, registering an account on the titleixforall.com website, or social media platforms (the “Service”) owned or operated by Title IX for All, LLC and Title IX for All Advisory Services, LLC (DBA Title IX for All, referred to afterward as “us”, “we”, or “our”).

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, clients, customers, and others who wish to access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

Accounts

When you create an account on our website titleixforall.com, you guarantee that you are above the age of 13 and that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

When you sign an engagement agreement for our advisory services, we will create a website account for you if you do not have one already. Advisory clients will be able to access their case documents and account and billing information at titleixforall.com/advisory-clients.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You understand and accept that Title IX for All’s support personnel may need to access your account to assist in support requests that may occur periodically.

Advisory Clients

Prospective advisory clients must sign an engagement agreement before we can serve them. When a conflict or ambiguity exists between these Terms of Service and the engagement agreement, the engagement agreement will take priority. Prospective, current, and former advisory clients understand and accept that:

  • Our advisory services are limited to assisting them in the course of school misconduct proceedings, and
  • Because Title IX for All is not a law firm, we cannot provide advice or representation regarding litigation, draft settlement agreements, or establish attorney-client relationships.

Links to Other Web Sites

Our Service may contain links to third party web sites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for the content, privacy policies, or practices of any third-party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that we are not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by, in connection with, use of, or reliance on any such content, goods or services available on or through any such third party web sites or services.

We strongly advise you to read the terms of service and privacy policies of any third-party web sites or services that you visit.

Service Interruption and Restoration

Periodically, Title IX for All may temporarily restrict access to its website, databases, or any Service to perform maintenance tasks, implement upgrades, or to restore the service after a third-party attack. A Service may also be interrupted due to other third-party issues beyond our control.

We cannot always predict when the restoration of such services will be complete. Please notify us in writing whenever you cannot access a paid Service for any reason. Should the interruption of any paid Subscription-based Service exceed 24 hours after written notice was provided, we will provide a refund pro-rated for the amount of time user was unable to access the Service.

Subscriptions

Some parts of the Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). The intervals and fees of each Billing Cycle are set forth in the terms of each specific Service.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it, or we cancel it. You may cancel your Subscription renewal either through your online account management page or by contacting us at info@titleixforall.com. If you cancel, you will still have access to the Service associated with that Subscription based on the time you have already paid.

A valid payment method, such as a credit card, PayPal, or linked bank account is required to process the payment for your Subscription(s). You must provide us with accurate and complete billing information including your full name, email address, and valid payment method information. By submitting such information through a subscription signup form, you authorize us to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, we may issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice. We may provide a grace period – solely at our discretion – whereby you will have time to update your payment method while still having access to the service.

Fee Changes

We, in our sole discretion and at any time, may modify Subscription fees. We will provide you with reasonable prior notice (“Notice Period”) of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Any Subscription fee change for current Subscribers will become effective at the end of the Billing Cycle at or after the end of the Notice Period, or immediately for users who have not yet subscribed. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Refunds

Refund, except as otherwise mentioned in these Terms of Service, may be considered by us on a case-by-case basis and granted in our sole discretion.

Shipments to Physical Addresses

For any Service involving shipments to a physical address, it is the responsibility of the purchaser to provide accurate physical address information at the time the Service is purchased. Title IX for All is not responsible for lost shipments due to incorrect address information, regardless of whether that information was provided after the service was purchased. Refunds or replacements may only be issued within Title IX for All’s sole discretion.

Future Developments

Title IX for All may occasionally announce the development of various features regarding its various Services or the development of a new Service. All such announcements and developments should be regarded as subject to change and not as a promise of the release or publication of such features or Services.

Limitations on Use

You may not reproduce, resell, or distribute the Services or any reports or data spreadsheets (“lists”) purchased, generated, or downloaded by the Service for any purpose unless you have been specifically permitted to do so under a separate agreement with Title IX for All. You may not offer or enable any third parties to use the Services purchased by you, display on any website or otherwise publish the Services or any Content obtained from a Service (other than Content created by You) or use the Services for the development, production or marketing of a service or product substantially similar to the Services provided by Title IX for All.

Termination

We may terminate or suspend your account and bar your access to the any and all Services immediately – including banning you from all databases, social media platforms, removal from mailing lists, and IP-banning your access to our website – without prior notice or liability, without refund, and regardless of Billing Cycle or timeframe, if we determine that you have breached of the Terms of Service, including but not limited to the following:

(i) the account was used to distribute or upload malicious code or software, either knowingly or unknowingly, to the Title IX for All website or associated databases;

(ii) the account was shared with another person, entity, or party without our explicit written approval;

(iii) the account was used in an attempt to gain access to a Service requiring a Subscription or fee without the purchase of the Subscription or submission of the fee payment through appropriate channels;

(iv) the username of the account is misleading, false, or impersonates or contains – in whole or part – the name of another person or entity or that is not lawfully available for use, or contains a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization;

(v) the account was used to sell, resell, license, sublicense, distribute, rent or lease any Service or Content provided by Title IX for All;

(vi) the account was used to disrupt or modify the existing Service in a manner that, by Title IX for All’s sole determination, may disrupt or impair the user experience of other users;

(vii) the account was used to copy, reverse engineer, or create derivative works of a Service or any part, feature, function or user interface;

(viii) the account was used to copy any ideas, features, functions or graphics of the Service;

(ix) the account was created or repurposed in an attempt to evade a previous account suspension;

(x) the account was used in the attempt to “frame” or “mirror” the Services on any other server or wireless or internet-based device;

(xi) the account attempted to use a Service in the pursuit of an illegal purpose;

(xii) a user, or a person or agent acting on behalf of that user, in Title IX for All’s sole determination, filed one or more fraudulent chargeback claims with a financial organization.

If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Modification or Removal of Service Features

In the course of developing its database Services, Title IX for All may periodically modify or remove certain elements of a database Service, so long as such changes do not prohibit users from accessing most of the core features of that Service.

Indemnification

You agree to defend, indemnify and hold harmless Title IX for All and its employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

Limitation Of Liability

In no event shall Title IX for All, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

(i) your access to or use of or inability to access or use the Service;

(ii) any conduct or content of any third party on the Service;

(iii) any content obtained from the Service; and

(iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Regarding any database Service, Title IX for All and its affiliates do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; or c) the results of using the Service will meet your requirements.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Texas, United States, without regard to its conflict of law provisions. Any failure of Title IX for All to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

Changes

Title IX for All may periodically modify or replace these Terms. We will provide a reasonable notice for existing and new users. Changes to Terms of Service take effect immediately for future clients and customers, or – for users with an active database Subscription – within fourteen (14) days or  upon their next recurring billing event, whichever occurs later.

By continuing to access or use our Service(s) after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service(s).

  • Commenting moderation. Users must register their name and email address to comment on the Title IX for All website. These data assist in comment moderation.
  • Email newsletters. Title IX for All requires users to submit at minimum an email address to provide the email newsletter service. Users submit this information upon signup.
  • Database registration. Title IX for All collects the following information for the following purposes:
    • Usernames and email addresses, to contact users regarding critical database issues and to provide users with the means of accessing their accounts electronically

How Long Does Title IX for All Keep Personal Data?

We generally store such data indefinitely. Exceptions include but are not limited to:

  • If a service attached to data is discontinued, Title IX for All may choose to delete all related data connected to the service.
  • If a user submits a request to Title IX for All to delete their personal data or their user, that request will be honored. Users may be required to discontinue use of any Service which depends on such data.

What Rights Do I Have to Personal Data That Title IX for All Processes?

  • You have the right to request access to or erasure of your personal data.
  • You have the right to object to the processing of your personal data and have the processing of your personal data restricted.
